1. Service Description

hyWick (“Platform”, “Service”) is a SaaS digital marketing analytics and management platform developed and operated by [COMPANY_NAME] (“Company”, ‘we’). By accessing or using hyWick, you agree to these Terms of Use (“Terms”).

The platform offers the following services:

• hyWick Core: A fundamental platform that combines advertising, social media, and sales data into a single dashboard. It offers customizable reports and platform-based comparative analysis.
• hyWick Insight: AI-powered analytics engine. It automatically detects and reports sales changes, advertising performance, and growth or decline in critical metrics by analyzing data collected from hyWick Core.
• hyWick Action: Accelerate advertising and content decisions with AI-powered action recommendations.
• hyWick Chat: Real-time Q&A and analysis on platform data with an AI-powered chatbot.
• hyWick Studio: AI-powered visual and text content creation.
• hyWick Profit: E-commerce profitability calculation tool; product and channel-based revenue, cost, and profit analysis.
• hyWick Growth: A tool that analyzes the basic SEO status of a website. It checks page titles, meta descriptions, and content structure to identify areas for improvement to increase visibility in search engines.

2. Account Registration

• You must provide accurate, complete, and up-to-date information during registration.
• You are responsible for the confidentiality and security of your account information.
• You are responsible for all transactions made through your account.
• Each individual may only create one account. Shared or duplicate accounts are not permitted.
• You must be at least 18 years old to use the service.
• If you detect unauthorized access to your account, you must immediately notify us at info@hywick.com.

3. User Roles and Authorization

The platform offers user roles with different access levels within the organizational structure. The access and permissions granted to each role can be configured through the platform; you can review the Organization Structure settings within the platform for current role definitions and permission levels.

Role assignment and user access management are entirely the responsibility of the Customer. hyWick is not responsible for unauthorized access resulting from incorrectly configured role assignments.

4. Subscription Plans and Payment

• hyWick offers Free, Starter, Pro, Scale, and Enterprise subscription tiers, each with different features and limits.
• Paid subscriptions are billed on a recurring basis (monthly or yearly) and automatically renew unless canceled before the renewal date.
• hyWick reserves the right to change prices with at least 30 days' notice. Price changes do not apply to the current billing period.
• Late or failed payments may result in suspension of service. At least 7 days' notice will be provided before access is suspended due to payment issues.
• All applicable taxes are the Customer's responsibility and are added to the subscription price in accordance with legal requirements.

5. Usage Limits

The monthly usage limits included in each subscription plan are listed below:

A fair use policy applies to all plans. Excessive automated or programmatic access may be restricted.

6. Third-Party Integrations

The Platform integrates with Google Analytics, Google Ads, Google Search Console, Meta (Facebook/Instagram), TikTok, LinkedIn, YouTube, Trendyol, Hepsiburada, Shopify, WooCommerce, İkas, and Ticimax. When using these integrations:

• It is your responsibility to maintain valid API access and credentials with each third-party provider.
• You must comply with the terms of use and usage policies of each third-party provider.
• hyWick is not responsible for interruptions, changes, or termination of third-party services.
• Data accuracy depends on the third-party provider. hyWick does not guarantee the accuracy of third-party data.
• Identity verification is performed via OAuth 2.0 — your third-party passwords are never stored by hyWick.
• You can remove any integration from your hyWick integration settings at any time.

7. Intellectual Property

All software, design, logo, trademarks, and content on the hyWick platform are the intellectual property of [COMPANY_NAME] and are protected by applicable intellectual property laws.

• You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service during the subscription period.
• This license does not include the right to copy, modify, distribute, sell, or rent any part of the Service.
• Your data remains your property. We do not claim any rights over the data you upload or connect to the platform.

8. AI Features

The hyWick platform offers the following AI-powered features:

• hyWick Insight: Automatically detects sales changes, advertising performance, and growth or decline in critical metrics by analyzing collected data. Outputs are for informational purposes only; accuracy is not guaranteed.
• hyWick Action: Generates concrete action recommendations based on analyzed data. All recommendations are for informational purposes only; the final decision always rests with the user. hyWick is not responsible for decisions made based on these recommendations.
• hyWick Chat: Analyzes incoming customer messages and generates automated responses based on rules set by the user. hyWick Chat does not store customer data for later use.
• hyWick Studio: Creates various content, including product descriptions, blog posts, social media content, and visuals, using artificial intelligence. The generated content can be edited by the user. The accuracy and brand compliance of the output are the responsibility of the user.

AI features are provided “as is.” hyWick does not guarantee the accuracy, completeness, or suitability for any particular purpose of AI outputs. Content and suggestions generated by AI do not constitute professional, legal, or financial advice. AI usage limits vary depending on the subscription plan; please refer to the pricing page for current limits. We may update AI models without prior notice to improve service quality.

9. Prohibited Uses

You agree not to engage in the following behaviors:

• Reverse engineering, decompiling, or extracting the source code of any part of the platform
• Using the service for illegal, harmful, or fraudulent purposes
• Attempting to gain unauthorized access to other users' accounts or data
• Overloading, disrupting, or interfering with the service or its infrastructure
• Accessing the Platform with automated tools (bots, scrapers, crawlers) without authorization
• Do not share your account information with others or allow unauthorized use of your account.
• Using the service to develop a competing product or service
• Removing or altering any ownership notice, label, or mark on the platform
• Sharing data obtained through the platform with third parties for commercial purposes without authorization

10. Data Ownership

• All data you upload, connect, or generate through the platform remains your property.
• hyWick processes your data solely for the purpose of providing and improving the Service.
• When your account is deleted, your data will be permanently removed in accordance with our data retention policy (within 30 days).
• Before deleting your account, you can request a data export by contacting info@hywick.com.

11. Service Level

• hyWick provides the service on a best-effort basis. Except for the Enterprise plan, which has a separate SLA agreement, no specific uptime SLA is guaranteed.
• Scheduled maintenance work may be carried out and will be announced in advance whenever possible.
• hyWick is not responsible for interruptions caused by third-party API providers (Google, Meta, TikTok, LinkedIn, etc.).
• We reserve the right to modify, suspend, or terminate any feature by providing reasonable notice.

12. Limitation of Liability

To the maximum extent permitted by applicable laws:

• hyWick shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunities.
• Our total liability for any claim arising from or related to the Service shall not exceed the total fees paid by you in the 12 months prior to the claim.
• No liability applies to the free plan — The service is provided “as is” for free users without any warranty.
• We are not responsible for issues arising from third-party service interruptions, API changes, or data inaccuracies from external providers.

13. Compensation

You agree to indemnify, defend, and hold harmless [COMPANY_NAME], its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with the following circumstances:

• Your use of the Service or your violation of these Terms
• Infringement of third-party rights, including intellectual property rights
• Any data or content you send through the platform

14. Termination

• Sizin tarafınızdan: Aboneliğinizi ve hesabınızı istediğiniz zaman hesap ayarlarınızdan veya info@hywick.com adresine başvurarak iptal edebilirsiniz.
• by hyWick (curable violation): For curable violations, we may terminate your access by providing 30 days' written notice, giving you the opportunity to remedy the violation.
• By hyWick (serious violation): We may immediately terminate your access without notice for serious violations, including security breaches, data theft, illegal activities, or repeated prohibited use.
• After termination: Upon termination, your data will be deleted in accordance with our retention policy. You may request a data export prior to termination.

15. Applicable Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the Courts and Enforcement Offices of Istanbul.

Under the Consumer Protection Law No. 6502, Consumer Arbitration Boards and Consumer Courts also have jurisdiction over consumer disputes.

16. Force Majeure

hyWick shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control. Such circumstances include, but are not limited to, natural disasters, war, terrorism, insurrection, government actions, power outages, internet or telecommunications failures, cyber attacks, epidemics, or third-party service interruptions.

17. Changes to the Terms and Conditions

hyWick reserves the right to change these Terms at any time. When significant changes are made:

• Notification will be given at least 30 days before the changes take effect.
• Important changes will be notified to the email address associated with your account.
• The updated Terms and Conditions will be published on this page with a revised “Last updated” date.
• Your continued use of the Service after the notification period means that you accept the amended Terms.
• If you do not accept the Modified Terms, you may terminate your account before the changes take effect.

18. Consumer Rights and Distance Selling

This section has been prepared in accordance with the Consumer Protection Law No. 6502 and the Remote Contracts Regulation.

Right of Withdrawal

Pursuant to Article 50 of Law No. 6502 and the Distance Contracts Regulation, the right of withdrawal cannot be exercised once the performance of digital content and services has commenced in an electronic environment. When you start your paid subscription, you are deemed to have accepted that the performance of the digital service has commenced.

However, if you cancel your subscription during the free trial period, you will not be charged any fees.

Consumer Complaints

You can submit complaints regarding our services to info@hywick.com. You retain the right to apply to Consumer Arbitration Committees and Consumer Courts under Law No. 6502.
